1. Definitions
In these Terms & Conditions, the following definitions apply:
- DirectWeb Studio: the sole proprietorship registered in the Netherlands, listed in the Dutch Chamber of Commerce (KVK) under number 94084378, with VAT number NL005063088B68.
- Client: the natural person or legal entity (hotel, resort, villa, guesthouse or similar business) entering into an agreement with DirectWeb Studio.
- Services: the design, development and delivery of websites, as well as related services such as copywriting, basic SEO and hosting guidance.
- Website: the website delivered to the Client, including related functionality such as the booking request form and WhatsApp button.
2. Scope of Application
These Terms & Conditions apply to all offers, quotations and agreements between DirectWeb Studio and the Client. Any conflicting terms from the Client are expressly rejected, unless agreed otherwise in writing.
3. Offers and Quotations
All offers and quotations from DirectWeb Studio are non-binding and valid for 30 days, unless otherwise stated. The free homepage preview we offer is entirely non-binding; after receiving the preview, the Client is under no obligation to proceed with further services.
4. Execution of the Agreement
DirectWeb Studio shall execute the agreement to the best of its knowledge and ability. The Client is responsible for providing all necessary information, texts, photos and access credentials in a timely and correct manner.
If the Client fails to deliver the required materials on time, this may impact the delivery timeline. Delays caused by the Client are at the Client's expense.
5. Delivery and Timelines
DirectWeb Studio aims to launch the website within 1 week (5–7 business days) after approval of the homepage preview, provided that the Client supplies all necessary content on time.
Stated timelines are indicative and do not constitute strict deadlines. Exceeding a delivery date does not entitle the Client to dissolve the agreement or claim damages.
6. Rates and Payment
All prices are in euros and exclusive of VAT, unless otherwise stated. Payment takes place in two instalments:
- 50% upfront upon approval of the quotation and start of the work;
- 50% upon delivery and launch of the website.
Payment must be made within 14 days of the invoice date. In case of late payment, the Client shall be in default by operation of law and shall owe statutory interest.
7. Ownership and Intellectual Property
Upon full payment, the right to use the delivered website transfers to the Client. The Client receives the right to use the website indefinitely for their own business.
DirectWeb Studio retains the right to display the website (or parts of it) as portfolio work, unless agreed otherwise in writing. Stock photos and third-party assets remain the property of their respective rights holders.
8. Hosting and Domain Names
The Client is responsible for purchasing and managing their own domain name and hosting, unless agreed otherwise. DirectWeb Studio can provide guidance regarding the choice and setup of hosting upon request, but is not a hosting provider.
9. Liability
DirectWeb Studio is not liable for indirect damages, lost profits, missed bookings or consequential damages arising from the use of the delivered website or any downtime thereof.
The total liability of DirectWeb Studio is in all cases limited to the amount paid by the Client under the relevant agreement, up to a maximum of € 1,000.
10. Guest Bookings and Payments
Important: DirectWeb Studio is in no way involved in the actual reservations or payments made by guests. We only build the website and the booking request system.
- All guest payments go directly to the Client (the hotel/resort);
- Reservations and confirmations are handled by the Client, via WhatsApp, email or their own reservation process;
- DirectWeb Studio never acts as a booking platform, payment service or intermediary between the guest and the hotel;
- Any disputes between guests and the Client fall entirely outside the responsibility of DirectWeb Studio.
11. Changes and Cancellation
The Client has the right to cancel the agreement within 7 days of paying the deposit, in which case 25% of the agreed amount remains payable as compensation for work already performed.
Changes to the assignment that substantially deviate from the original quotation may result in an additional quotation and an adjusted delivery timeline.
12. Confidentiality
Both parties undertake to keep confidential all confidential information they receive from each other in the context of the agreement. This includes, among other things, pricing information, customer data and business strategies.
13. Governing Law
All agreements between DirectWeb Studio and the Client are governed exclusively by Dutch law. Disputes shall be submitted to the competent court in the district where DirectWeb Studio is established.
Privacy Policy
DirectWeb Studio respects the privacy of its visitors and clients and handles personal data with care, in accordance with the GDPR (General Data Protection Regulation).
What data do we collect?
- Contact details that you provide through the contact form (name, email, phone/WhatsApp, hotel name);
- Business information required to build your website (photos, texts, social media links);
- Communication data from emails and WhatsApp messages exchanged with us.
What do we use this data for?
- To process your request for a free homepage preview;
- To carry out the agreed work;
- To issue invoices and process payments;
- To communicate with you about the progress of your project.
Retention Period
We do not retain your data longer than strictly necessary to fulfil the purposes for which it was collected. For administrative and tax obligations, a retention period of 7 years applies.
Your Rights
You have the right to access, correct or delete your personal data. To submit a request for access, correction or deletion, please email emiel@directwebstudio.com.
Cookies
The DirectWeb Studio website uses only functional cookies that are necessary for the proper functioning of the site. We do not use third-party tracking cookies.
